Introduction

These terms govern applications for and access to the Redmont Broker Network and Broker Portal.

For the avoidance of doubt, acceptance of these online terms does not by itself constitute:

  • an employment contract;
  • appointment as a Redmont Broker Employee;
  • an independent contractor agreement;
  • a brokerage cooperation agreement;
  • a referral agreement;
  • an entitlement to commission;
  • an ADREC licence or registration;
  • a MOHRE employment arrangement; or
  • legal authority to conduct regulated real estate brokerage activities on behalf of Redmont.

Separate written agreements, licences, registrations and regulatory approvals may be required depending on the relationship between Redmont and the applicant.

5.1 Eligibility

Applicants must provide true, complete, accurate and current information.

Where applicable, applicants are responsible for maintaining all professional licences, registrations, employment permissions, company licences and other approvals legally required for their activities.

5.2 Application and Approval

Submission of a broker application does not guarantee acceptance.

Redmont may:

  • approve an application;
  • reject an application;
  • request additional information;
  • request supporting documentation;
  • conduct compliance verification; or
  • suspend consideration of an application.

Redmont may determine the appropriate legal and commercial relationship with an applicant before granting full access.

5.3 Applicant Categories

Applicants may include:

  • prospective Redmont Broker Employees;
  • external licensed real estate brokers;
  • representatives of licensed real estate brokerages;
  • referral or business partners; or
  • other approved professional partners.

The agreements and regulatory requirements applicable to each category may differ.

5.4 Broker Portal Access

Approved users may receive access to selected:

  • property opportunities;
  • project information;
  • availability;
  • inventory;
  • developer marketing materials;
  • marketing resources;
  • training materials;
  • announcements;
  • commission information;
  • lead opportunities; and
  • professional resources.

Access levels may differ depending on the user’s approved role.

5.5 Account Security

Portal accounts are personal.

Users must not:

  • share passwords;
  • provide login access to unauthorised persons;
  • permit another individual to impersonate them; or
  • attempt to access information beyond their authorised access level.

Suspected unauthorised access must be reported immediately to: broker@redmontrealtor.ae

5.6 Property and Developer Information

Portal information may change at any time and remains subject to confirmation.

Users must independently confirm current:

  • availability;
  • pricing;
  • payment plans;
  • developer incentives;
  • commission information;
  • property specifications; and
  • marketing permissions

before communicating material information to clients.

5.7 Leads and Client Information

Where Redmont assigns or provides a client lead, that lead will be recorded as a Redmont-generated opportunity unless otherwise agreed in writing.

Portal users must not:

  • divert Redmont leads;
  • remove leads from authorised Redmont systems;
  • circumvent Redmont;
  • direct Redmont clients to another brokerage without authority;
  • privately conclude transactions arising from Redmont-generated leads;
  • misuse client information; or
  • disclose client information without authority.

Lead ownership, commission and payment rights are governed by the relevant separate written agreement.

5.8 Commission

Registration for or access to the Broker Portal does not create any entitlement to commission.

Any commission or referral entitlement must arise under the relevant written agreement, including where applicable:

  • Broker Employee Commission Addendum;
  • Broker Cooperation / Commission Split Agreement;
  • Referral Agreement; or
  • other agreement approved by Redmont.

Payment terms shall be governed exclusively by the applicable signed agreement.

5.9 Regulatory and Professional Compliance

All users must comply with applicable:

  • UAE laws;
  • Abu Dhabi real estate regulations;
  • ADREC requirements;
  • AML/KYC requirements;
  • sanctions requirements;
  • data protection requirements;
  • advertising requirements;
  • permit requirements; and
  • Redmont policies and procedures.

No person may represent himself or herself as authorised to perform regulated brokerage activities on behalf of Redmont unless all legally required arrangements and approvals have been completed.

5.10 Marketing and Advertising

Portal users may use approved marketing material only for authorised business purposes.

Users must not:

  • publish outdated inventory;
  • advertise false prices;
  • guarantee returns;
  • materially alter marketing materials in a misleading manner;
  • remove required disclaimers;
  • misuse developer branding;
  • advertise without required permits or approvals; or
  • make statements prohibited by applicable law or regulation.

Users remain responsible for ensuring that their advertising activities comply with applicable requirements.

5.11 Confidentiality

Users must keep confidential all non-public information obtained through Redmont, including:

  • client information;
  • CRM information;
  • commission structures;
  • internal inventory;
  • broker information;
  • developer information;
  • pricing information not publicly released;
  • business strategies;
  • training materials;
  • confidential documents; and
  • proprietary Redmont information.

Confidential information must not be used for personal benefit outside the authorised relationship with Redmont.

5.12 Intellectual Property

Redmont’s proprietary:

  • branding;
  • documents;
  • templates;
  • portal content;
  • databases;
  • training resources;
  • marketing materials; and
  • other intellectual property

remain the property of Redmont or the applicable rights holder.

Portal access does not transfer ownership rights.

5.13 Suspension and Termination

Redmont may suspend, restrict or terminate Portal access where reasonably necessary, including in cases of:

  • false information;
  • expired licences;
  • regulatory breaches;
  • suspected fraud;
  • client circumvention;
  • misuse of confidential information;
  • unauthorised marketing;
  • credential sharing;
  • data misuse;
  • misconduct;
  • security concerns; or
  • material violation of these Terms.

Termination of Portal access does not affect rights or obligations arising under separate agreements.

5.14 Amendments

Redmont may amend these Broker Network & Portal Terms.

Where material changes are made, users may be required to accept the updated version before continuing to access the Portal.

5.15 Governing Law

These Terms are governed by applicable UAE law and applicable laws and regulations of the Emirate of Abu Dhabi.

Any dispute shall be subject to applicable mandatory regulatory, employment or dispute-resolution procedures before referral to the competent courts where required.
